These Terms & Conditions govern your access to and use of the ShaginPartners website. By using the Site or submitting any inquiry through it, you agree to be bound by these Terms and by our Privacy Policy.

1. Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of the website operated by ShaginPartners at shaginpartners.com (the "Site"). By accessing or using the Site, or by submitting any inquiry through the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Site.

2. Nature of the Site; no legal advice; no attorney-client relationship

The Site provides general informational content about ShaginPartners and the practice areas in which we work. All content on the Site is for informational purposes only and does not constitute regulated legal, tax, or other professional advice with respect to any specific situation, nor an offer to enter into a contract on any particular terms.

Engagement of ShaginPartners requires a separate written engagement letter executed by an authorized representative of ShaginPartners. Until such an engagement letter is executed:

  • no attorney-client relationship is formed by your use of the Site, by submission of an inquiry, by any communication with us, or by scheduling a consultation;
  • information you submit through the Site is not treated as privileged or confidential beyond the protections set forth in our Privacy Policy;
  • nothing on the Site shall be construed as a guarantee of any particular outcome.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Site. By using the Site, you represent that you meet these requirements and that you are not a person barred from receiving services under the laws of any applicable jurisdiction.

The marks "ShaginPartners" and any associated logos are the property of ShaginPartners. All other trademarks and service marks referenced on the Site are the property of their respective owners.

6. User submissions

By submitting information through the Site (including via the case-discussion form, email, or other channels), you represent that the information is accurate, that you have the right to provide it, and that providing it does not violate the rights of any third party.

You grant ShaginPartners a worldwide, non-exclusive, royalty-free license to use the submitted information solely for the purpose of (i) responding to your inquiry, (ii) providing requested information about our services, and (iii) maintaining records of communications in accordance with our internal policies and applicable law.

Do not submit confidential or privileged information through the Site. Until a written engagement letter is executed, any information you submit is not protected by attorney-client privilege.

7. Third-party services and links

The Site may include links to or integrations with third-party services, including, without limitation, Calendly (for scheduling) and LinkedIn (for professional networking). ShaginPartners is not responsible for the content, accuracy, opinions, availability, or practices of any third-party service. Your use of any third-party service is governed by the applicable third-party terms and privacy practices, and is at your own risk.

8. Disclaimers

The Site and all content are provided "as is" and "as available." To the fullest extent permitted by applicable law, ShaginPartners disclaims all warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. ShaginPartners does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components. No advice or information, whether oral or written, obtained through the Site shall create any warranty not expressly stated herein.

9. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall ShaginPartners, its partners, affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, or data, arising out of or in connection with your access to or use of the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not ShaginPartners has been advised of the possibility of such damages.

In no event shall ShaginPartners' aggregate liability arising out of or relating to your use of the Site exceed one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ShaginPartners and its partners, affiliates, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your access to or use of the Site; (ii) your violation of these Terms; (iii) your violation of any rights of a third party; or (iv) any content you submit or transmit through the Site.

11. Governing law

These Terms and any non-contractual obligations arising out of or relating to them shall be governed by, and construed in accordance with, the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. Jurisdiction and venue

You and ShaginPartners agree that the state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the Site, and you irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection based on inconvenient forum or improper venue.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving the parties' original intent.

14. Entire agreement

These Terms, together with the Privacy Policy and any engagement letter that may be executed between you and ShaginPartners, constitute the entire agreement between you and ShaginPartners with respect to the Site and supersede any prior or contemporaneous understandings, communications, or agreements (whether written or oral) on the same subject matter.

15. Changes to these terms

We may revise these Terms from time to time. The "Last updated" date at the top of this page indicates when changes were last made. Material changes will be communicated through the Site. Your continued use of the Site after revisions become effective constitutes your acceptance of the revised Terms.
